1. Introduction

1.1. These Terms and Conditions (“Terms”) govern the use of the ABCDHost service operated by ABCD Brasil (“we”, “us”, “our”).
1.2. By subscribing to or using ABCDHost, the Client (“you”, “your”, “Client”, “Controller”) agrees to be bound by these Terms.
1.3. ABCDHost is a Software-as-a-Service (SaaS) hosting and maintenance solution for the ABCD Integrated Library System and related modules.
1.4. These Terms apply worldwide, including Clients located in the European Union, Latin America, Africa, and other jurisdictions.

3. Service Description

3.1. ABCDHost provides hosting, maintenance, support, updates, and infrastructure management for instances of the ABCD software.
3.2. The Client retains full ownership and responsibility for all data stored within their ABCD instance.
3.3. ABCD Brasil does not access or modify client databases unless the Client explicitly requests technical intervention.
3.4. Optional services (e.g., data migration, encoding correction, structural changes, layout customization) may require additional agreements or fees.


4. Account and Client Responsibilities

4.1. The Client is responsible for ensuring the accuracy of registration data and maintaining the confidentiality of administrative credentials.
4.2. The Client must ensure that its use of ABCDHost complies with all applicable laws, including intellectual property, data protection, and copyright laws.
4.3. The Client is solely responsible for the content uploaded, stored, catalogued, or published through its ABCD system.
4.4. The Client must not use ABCDHost to:
a) engage in unlawful activities;
b) store illegal, harmful, or malicious content;
c) attempt to bypass or breach system security.


5. Data Ownership and Protection

5.1. All data entered, uploaded, or generated within the Client’s ABCD instance belongs exclusively to the Client.
5.2. ABCD Brasil acts as a Data Processor, and the Client acts as the Data Controller under GDPR and LGPD.
5.3. A separate Data Processing Agreement (DPA) forms part of the contractual relationship and governs the handling of personal data.
5.4. The Client is responsible for ensuring the lawful basis for all personal or institutional data stored in their ABCDHost environment.


6. Fees, Billing, and Renewal

6.1. Subscription fees are charged according to the selected plan or service level.
6.2. Payments are non-refundable.
6.3. If the Client does not renew the subscription, the service may be suspended and later terminated after prior notice.
6.4. Non-payment does not entitle the Client to reimbursement of unused time.
6.5. Currency conversion may apply depending on the region (e.g., EUR, USD, BRL).


7. Service Availability and Maintenance

7.1. ABCDHost aims to provide continuous availability but does not guarantee uninterrupted service.
7.2. Scheduled maintenance may require temporary downtime; Clients will be notified whenever possible.
7.3. Emergency maintenance may occur without prior notice if required for security or stability.
7.4. ABCD Brasil is not liable for downtime resulting from:
a) failures in third-party datacenters (Hostinger);
b) network outages beyond our control;
c) force majeure events.


8. Support and Technical Assistance

8.1. Support levels depend on the chosen plan.
8.2. Support includes:
a) troubleshooting technical issues;
b) server environment management;
c) assistance with system updates;
d) incident response.
8.3. Support does not include cataloguing services, data entry, or operational services unless contracted separately.


9. Subprocessors

9.1. The Client authorises the use of subprocessors necessary for service delivery.
9.2. Current subprocessors include:

  • Hostinger (hosting, datacenter, server infrastructure).
    9.3. Additional subprocessors may be added; Clients will be notified as required by GDPR.

10. Security Measures

10.1. ABCD Brasil implements appropriate technical and organisational measures, including:
a) encrypted connections (TLS/HTTPS);
b) controlled server access;
c) firewalls and intrusion prevention;
d) data redundancy and secure backups.
10.2. No method of transmission or storage is entirely risk-free; Clients accept this residual risk.


11. Limitation of Liability

11.1. To the maximum extent permitted by law, ABCD Brasil is not liable for:
a) loss of revenue, profit, or data caused by misuse of the system;
b) damages resulting from third-party failures (e.g., datacenter outages);
c) indirect, incidental, or consequential damages.
11.2. ABCD Brasil’s total liability for any claim shall not exceed the total amount paid by the Client in the 12 months preceding the incident.


12. Termination

12.1. Either party may terminate the service contract with written notice.
12.2. Upon termination:
a) the Client may request a full export of their data;
b) ABCD Brasil will securely delete the Client’s instance after a grace period;
c) no refunds will be issued.
12.3. Early termination by the Client does not entitle reimbursement of previously paid fees.


13. Intellectual Property

13.1. ABCD is a free and open-source system; ABCD Brasil respects all relevant licences.
13.2. Customizations, scripts, or materials developed by ABCD Brasil may be subject to copyright unless otherwise agreed.
13.3. The Client must not claim ownership of ABCDHost infrastructure, branding, or proprietary components.


14. Governing Law and Jurisdiction

14.1. These Terms are governed by the laws of Brazil.
14.2. For EU Clients, GDPR provisions apply regarding data protection matters.
14.3. Disputes shall be resolved before the competent courts of Porto Alegre, RS, Brazil, unless mutually agreed otherwise.


15. Amendments

15.1. ABCD Brasil may update these Terms periodically.
15.2. Continued use of the service after changes constitute acceptance of the updated Terms.
